Terms of Service

1. The service
Comply.LM ("Comply.LM", "we", "us") is a compliance workspace for Australian legal, conveyancing, accounting, and other Tranche 2 reporting entities. It provides firm enrolment, staff onboarding and personal due diligence (PDD), client onboarding, KYC/KYB, sanctions and country risk screening, AML/CTF risk assessments, secure document storage, matters, consultations, AUSTRAC transactional and annual compliance reporting, staff training, record keeping, a client signature portal, and an AI Query Space.
Comply.LM is currently in Beta. Features may change as we iterate; material changes to these terms will be posted here with an updated date.
2. Accounts and eligibility
- One account per email address. Duplicate sign-ups with an existing email are not permitted.
- Accounts must be activated via the email verification link before use. If the email does not arrive, contact support or ask your administrator to resend the activation email.
- You are responsible for the accuracy of firm, staff, and client information you enter, and for maintaining the confidentiality of your credentials.
- Platform administrators may activate, deactivate, or suspend accounts to protect the service or comply with law.
3. Subscriptions, billing, and seats
- All prices are in Australian dollars (AUD) and shown inclusive of any applicable taxes unless stated otherwise. Plan prices can be viewed as monthly or annual figures; annual billing is charged once per year.
- Subscriptions are billed through Stripe. Card payment is the supported payment method; buy-now-pay-later methods are not offered.
- Additional user seats can be purchased on current (revised) plans at the plan's published seat rate. Accounts on legacy (grandfathered) plans cannot add seats at legacy rates — adding users requires upgrading to a current plan.
- An active trial does not prevent you from subscribing; you may subscribe at any time and your paid plan takes effect immediately.
- Plan entitlements (personnel and customer limits) are enforced in the product. Legacy plans retain their original unlimited entitlements for client and staff creation.
4. Promo codes and free trials
- Promotional codes may offer a percentage discount, a 5-day free subscription trial, or demo access, as described at issue.
- Each code has an expiry date and may have a redemption limit. Expired or exhausted codes are rejected at checkout or sign-up.
- Promo codes are not transferable, not redeemable for cash, and cannot be combined unless we say so.
- We may withdraw or amend a promotion at any time where permitted by law.
5. Affiliate program
- Approved firms may join the affiliate program. Participation requires reading and accepting the affiliate terms in-app before a referral link is issued.
- Each affiliate receives a unique referral link containing an encrypted key. Links must not be shared misleadingly, used for self-referral, or promoted through spam.
- Referral status is tracked as "Account created" and "Paid subscription" (with the paid amount). Points accrue on paid referrals and are visible in the affiliate dashboard.
- Points are redeemed by emailing the redemption request to the address shown in the dashboard. Redemption is manual and subject to verification.
6. Demo accounts
- Demo instances are lightweight evaluation environments enabled per firm by a platform administrator.
- Demo accounts have the full feature set unlocked for evaluation, use test payment keys only (no real charges), tag outbound emails as [DEMO ONLY], and display a demo banner.
- Demo working data may be wiped or reset at any time. Do not store real client personal information in a demo account.
- Demo access is a privilege, not a right, and may be revoked at any time.
7. AI Query Space
The AI Query Space is an in-product assistant available to signed-in users. The following terms apply specifically to it:
- Models: the Query Space is served by Alibaba Cloud Model Studio (Singapore region) using cost-optimised Qwen chat, vision, and embedding models. The available models are listed in the model picker and may change as the provider catalogue evolves.
- No training on your data — guardrail: your prompts, uploaded documents, chat history, and generated outputs are never used to train or improve AI models — neither by us nor, per the provider's service terms, by the model provider. We do not sell or broker this data.
- Usage cap and top-ups: each user has an AI usage allowance in AUD (default A$100, adjustable by the platform administrator). Usage is metered per call at the provider's list prices. When the allowance is exhausted the composer locks until a top-up (A$50–A$1,000) is purchased through Stripe or the administrator raises the cap.
- Accuracy: AI output can be wrong or incomplete. It is not legal, accounting, or compliance advice and must be reviewed by a qualified person before you rely on it.
- Acceptable use: do not use the Query Space to generate unlawful content, to attempt to extract other tenants' data, or in breach of our Acceptable Use Policy.
- Availability: the Query Space is provided in preview and may be rate-limited, changed, or withdrawn.
8. Client portal and electronic signatures
- Clients complete KYC/KYB forms through a token-based portal protected by one-time-passcode (OTP) email verification. Signature links expire 14 days after issue.
- Electronic signatures captured in the portal are intended to satisfy the Electronic Transactions Act 1999 (Cth) and equivalent state laws. The signing session records the signer, timestamp, and consent.
- While a form is out for client signature it is locked for firm editing; a Compliance Officer may revoke the request to regain edit access, which invalidates the outstanding link.
9. Bookings, payments, and third-party services
- Demo bookings are scheduled through Google Calendar; by booking you agree to receive a calendar invitation and related emails at the address you provide.
- Eligibility-check fees and platform subscriptions are processed under the Comply.LM merchant account; consultation payments are processed under your firm's own connected Stripe or PayPal account. We never store full card numbers.
- The public site uses Google reCAPTCHA v3 for spam and abuse protection, and Google Analytics 4 for aggregated usage measurement. Use of these features is subject to Google's terms and privacy policy.
10. Your responsibilities and acceptable use
You must use the service lawfully, keep client data accurate and up to date, obtain any consents required to upload personal information, and follow our Acceptable Use Policy. We may suspend access for breach, non-payment, or security risk.
11. Liability and warranty
The service is provided "as is" during Beta. To the maximum extent permitted by the Australian Consumer Law, we exclude implied warranties and limit our liability to resupplying the service or paying the cost of resupply. Nothing in these terms excludes a guarantee that cannot be excluded by law. Compliance outcomes remain your firm's responsibility; Comply.LM is a record-keeping and workflow tool, not a substitute for legal advice.
12. Termination and data export
You may cancel at any time from the billing page; the plan remains active until the end of the paid period. On termination you may request an export of your firm's data. We may retain records where required by AUSTRAC or other applicable law.
13. Governing law and contact
These terms are governed by the laws of New South Wales, Australia. Questions about these terms can be sent via the contact page or the support channel inside the app.
